1. Agreement to Terms

By accessing or using UltraLeanPlan ("Service"), operated by UpwardBit Ventures LLC ("Company," "we," "us," or "our"), you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use the Service.

2. Description of Service

UltraLeanPlan is an AI-powered startup planning platform that helps founders and teams create product specifications, business models, and pitch decks. The Service is currently in a pre-launch/beta phase and features may change without notice.

3. Eligibility

You must be at least 18 years of age to use the Service. By using the Service, you represent and warrant that you meet this requirement.

4. User Accounts & Beta Access

When you sign up for early access or create an account, you agree to provide accurate, complete, and current information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

Beta access is provided at no cost and may be modified, suspended, or terminated at any time at our sole discretion. Beta features are provided "as is" and may contain bugs or errors.

5. Intellectual Property

The Service, including all original content, features, functionality, design, and branding, is owned by UpwardBit Ventures LLC and is protected by copyright, trademark, and other intellectual property laws.

Content you create using the Service (such as plans, canvases, and pitch decks) remains your intellectual property. By using the Service, you grant us a limited, non-exclusive license to process and store your content solely for the purpose of providing the Service to you.

6. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose or in violation of any applicable laws
  • Attempt to gain unauthorized access to any part of the Service or its systems
  • Interfere with or disrupt the Service or servers connected to the Service
  • Reverse engineer, decompile, or disassemble any aspect of the Service
  • Use automated systems (bots, scrapers) to access the Service without permission

7. Feedback

If you provide us with feedback, suggestions, or ideas regarding the Service, you grant us a non-exclusive, perpetual, irrevocable, royalty-free license to use, modify, and incorporate such feedback without any obligation to you.

8. Disclaimer of Warranties

The Service is provided on an "AS IS" and "AS AVAILABLE" basis without warranties of any kind, either express or implied. We do not warrant that the Service will be uninterrupted, error-free, or free of viruses or other harmful components. AI-generated content may contain inaccuracies and should be reviewed before use in business decisions.

9. Limitation of Liability

To the maximum extent permitted by law, UpwardBit Ventures LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or business opportunities arising out of or related to your use of the Service. Our total liability shall not exceed the amount you paid us (if any) in the twelve (12) months preceding the claim, or $100, whichever is greater.

10. Termination

We may terminate or suspend your access to the Service at any time, with or without cause, and with or without notice. Upon termination, your right to use the Service will immediately cease.

11. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide at least 30 days' notice for material changes by posting the updated terms on this page. Your continued use of the Service after changes take effect constitutes acceptance of the revised terms.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved in the courts located in Orange County, California.
